United Emergency Management & Security Agency (UEMSA) Shared Patrol Program Terms and Conditions Agreement

1. Term of Agreement
This Agreement shall operate on a month-to-month basis. Services shall automatically terminate at 11:59 PM on the last calendar day of each month, unless payment for the subsequent month is received. Services will only be renewed upon receipt of payment.

If services are rendered overnight into a new month, payment must be received by 12:00 PM (noon) on the last day of the current month to continue uninterrupted service.

Either party may terminate this Agreement at any time with written notice.

2. Payment Terms
Monthly fee of is due on the the last day of the month by 12pm. Services terminate automatically at the end of the month unless payment is received.

3. Service Acknowledgement
Client acknowledges UEMSA cannot control the severity, duration, or complexity of incidents encountered while on patrol, which may delay or prevent completion of patrols within the scheduled time. UEMSA makes no guarantee of specific patrol frequency or timing due to these factors.

Client further acknowledges UEMSA cannot be held liable for crimes, incidents, or events occurring on the property both inside and outside of the agreed-upon patrol times, including during any absence of patrol services.

4. Price Adjustments

UEMSA reserves the right to adjust the fees for services provided under this Agreement in the event of unforeseen circumstances, such as changes in operational costs, regulatory requirements, or other factors beyond UEMSA's control. Any price increase will take effect in the following month and will be communicated to the Client in writing at least [2] days prior to the effective date of the increase.

5. Disaster Clause-Natural, Man-Made, and Technological Disasters

The Client acknowledges that UEMSA’s ability to provide security services may be impacted by unforeseen natural, man-made, or technological disasters, including but not limited to earthquakes, floods, fires, civil unrest, cyberattacks, or any other event outside of UEMSA’s control. In the event of such a disaster, UEMSA will make reasonable efforts to continue providing services, but cannot be held liable for any failure or delay in service delivery. The Client agrees that UEMSA shall not be held responsible for any damages, loss, or disruptions caused by such disasters, and acknowledges that the provision of services may be temporarily suspended during such events.

The Client understands and acknowledges that UEMSA cannot control the severity or complexity of events that may occur while officers are on patrol. These events, which may require additional time or resources, may impact the ability to complete patrols within the initially agreed-upon time frame. UEMSA does not guarantee that patrols will be completed within the specified time if unforeseen events or circumstances arise during the patrol. Furthermore, UEMSA shall not be held liable for any crimes, incidents, or events that occur on the Client's property, both inside and outside of the agreed-upon patrol times, during the absence of UEMSA personnel.

6. Vehicle Issues

The Client understands and acknowledges that UEMSA’s security patrol services may be affected by mechanical issues or malfunctions with patrol vehicles, including but not limited to breakdowns, accidents, or maintenance needs. In the event of a vehicle issue that prevents the timely completion of a scheduled patrol, UEMSA will make reasonable efforts to resolve the issue and continue services as soon as possible. However, UEMSA cannot be held liable for any delays or interruptions in service caused by vehicle issues. If a vehicle issue occurs, UEMSA will notify the Client as soon as practicable and will take appropriate steps to ensure continuity of services.

7. Mutual Aid

In the event that UEMSA requires assistance from another security company to complete the patrol services due to circumstances such as staffing shortages, vehicle issues, or other unforeseen events, the Client acknowledges that UEMSA may engage a third-party security company to assist in the provision of services. The Client has the option to opt out of mutual aid assistance by providing written notice to UEMSA. However, the Client understands that opting out may limit UEMSA's ability to complete patrols as scheduled, and the Client acknowledges that UEMSA cannot be held liable for any delays, interruptions, or failure to complete patrols if mutual aid assistance is not allowed. The Client further agrees to release UEMSA from any liability arising from the use of a third-party security company in fulfilling the services under this Agreement.

8. Deployment Clause

The Client understands and acknowledges that UEMSA may need to redeploy patrol officers to other posts or emergency situations that arise during the agreed-upon patrol hours. In such instances, UEMSA will make reasonable efforts to ensure that the Client’s property continues to receive security services, but cannot guarantee the continuation of patrols as originally scheduled. The Client agrees that UEMSA shall not be held liable for any interruptions, delays, or failure to complete patrols due to the redeployment of officers to other duties or emergencies. UEMSA will notify the Client as soon as practicable in the event of such redeployment and will make reasonable efforts to provide alternative solutions if needed.

9. Access Provision

The Client agrees to provide UEMSA with all necessary access to the property, facilities, and systems required to complete the patrol services effectively. This includes, but is not limited to, access to alarm systems, entry points, security systems, keys, and any other relevant equipment or information needed to perform patrols and security duties. The Client agrees to cooperate fully with UEMSA in ensuring that all access is granted promptly and without obstruction. Failure to provide the necessary access may hinder UEMSA's ability to provide the agreed-upon services, and UEMSA shall not be held liable for any delays or failures in completing patrols due to the Client’s failure to provide such access.

10. Emergency Call Response

UEMSA agrees to provide emergency response services as part of the security patrol program. In the event of an emergency, the Client may contact UEMSA to request immediate response by calling the designated emergency response number. UEMSA will make reasonable efforts to respond to the emergency promptly, subject to the availability of officers and other operational factors. The Client understands that response times may vary depending on the nature of the emergency, the location, and other circumstances. UEMSA shall not be held liable for any delays in response or failure to resolve emergencies, and the Client acknowledges that UEMSA's primary responsibility is to provide security patrols, not to act as emergency responders.

11. Surveillance Integration

The Client may choose to integrate existing or new surveillance systems, including but not limited to CCTV cameras, with UEMSA’s security patrol services. If the Client opts for this integration, UEMSA will coordinate directly with the surveillance systems to monitor activity and provide real-time oversight of the property. UEMSA will have access to view the surveillance feed and, when necessary, coordinate officer response based on the information provided by the system. The Client agrees to provide all necessary access and permissions to enable UEMSA to integrate and utilize the surveillance system as part of its patrol services.

UEMSA shall make reasonable efforts to monitor and utilize the surveillance system as part of its security services; however, UEMSA cannot be held liable for any failure to monitor the system or respond appropriately to incidents due to technical, network, or other issues that arise on UEMSA’s end, including but not limited to hardware malfunctions, software failures, internet connectivity issues, or other disruptions beyond UEMSA’s control. The Client acknowledges and agrees that, under such circumstances, UEMSA will not be held responsible for any incidents, damages, or losses arising from its inability to monitor or respond to events due to these factors.

Patrol officers will also be monitoring the surveillance feeds as part of their duties, in conjunction with their on-the-ground patrols. However, the Client understands that officers may be required to patrol multiple locations during their shift. As a result, there may be instances where an officer is unable to actively monitor the surveillance feed for one property while patrolling another. UEMSA shall not be held liable for any incidents, damages, or losses that occur during such instances where the officer is unable to actively monitor the property due to their patrol duties at another location.

12. Dedicated Officer for High-Risk Hours (Overnight/Special Event Coverage)
The Client may request a dedicated security officer for high-risk hours, including but not limited to overnight patrols or during special events that may require additional security coverage. Such requests must be made by providing a minimum of [X] days’ written notice to UEMSA, and approval is subject to officer availability. UEMSA will make reasonable efforts to accommodate the request, but cannot guarantee availability unless proper notice is provided.

In the event that UEMSA is unable to fulfill the request due to staffing limitations, UEMSA may engage a third-party security company to provide the necessary services. The Client acknowledges and agrees that UEMSA may, at its discretion, rely on mutual aid agreements to meet the security requirements, and further understands that UEMSA shall not be held liable for any actions, omissions, or failures of the third-party security provider.

In the event of an emergency call-out for a dedicated officer, the Client agrees that an additional upcharge will apply for services provided outside of regular hours or in response to urgent, unplanned events. The upcharge will be communicated to the Client prior to the service being rendered and will be billed accordingly. The Client understands that these emergency upcharges may vary based on the nature and timing of the call-out, and UEMSA will provide a breakdown of the fees upon request.

13. GPS-Tracked Officer Reports & Mobile Alerts
UEMSA utilizes GPS tracking and mobile alerts as part of its security services to ensure the effective and efficient monitoring of patrol officers. As part of the patrol program, UEMSA will track the location of officers during patrols using GPS-enabled devices. These devices will provide real-time updates on officer movements, which can be used to verify that patrols are completed as scheduled.

In addition, UEMSA will provide mobile alerts to the Client regarding the status of patrols, including updates on officer location, scheduled patrol times, and any deviations from the standard patrol route. These mobile alerts may include notifications of incidents or security breaches, when applicable.

The Client acknowledges and agrees that GPS tracking and mobile alerts are tools intended to enhance the security services provided and are not to be used as the sole means of verifying officer actions or completing patrols. UEMSA will make reasonable efforts to ensure that the information provided through GPS tracking and mobile alerts is accurate; however, UEMSA shall not be held liable for any discrepancies or failures in the data transmitted by these systems due to technical, connectivity, or other unforeseen issues.

14. Parking Enforcement
UEMSA may provide parking enforcement services as part of its security patrol program, subject to the Client's request and agreement. If parking enforcement is requested, UEMSA will monitor and enforce parking regulations on the Client’s property, including the issuance of parking citations, ticketing, or other necessary actions to ensure compliance with established parking policies.

The Client agrees to provide UEMSA with any specific parking regulations or rules that must be enforced, and to ensure that these policies are communicated clearly to all relevant parties, including tenants, employees, or visitors. UEMSA will make reasonable efforts to enforce parking regulations as requested, but cannot be held liable for any failure to enforce parking rules due to limitations in staffing, unforeseen circumstances, or other factors beyond UEMSA’s control.

The Client acknowledges that UEMSA's parking enforcement services are provided as part of the overall security patrol program and that UEMSA is not responsible for managing parking spaces, handling disputes related to parking, or providing administrative services related to citations.

15. Trespassing & Loitering Enforcement

UEMSA shall monitor the Client’s property for unauthorized individuals engaging in trespassing or loitering. Upon identification of such individuals, UEMSA officers will take reasonable, lawful actions to address and deter the activity, which may include verbal warnings, requests to leave the premises, and contacting local law enforcement if necessary. The Client understands that UEMSA will act within legal limitations and shall not be held liable for the refusal of unauthorized persons to vacate the premises or any resulting incidents.

16. After-Hours Lock/Unlock Services

At the Client’s request, UEMSA will provide after-hours lock and unlock services for designated access points of the property. UEMSA shall follow the procedures provided in writing by the Client regarding which areas to secure or open. The Client agrees to inform UEMSA of any changes to access control procedures and holds UEMSA harmless from any loss, theft, or damage resulting from inaccurate instructions, mechanical failures, or unauthorized re-entry after services are performed.

17. Routine Property Wellness Checks

UEMSA shall conduct routine wellness checks of the Client’s property during scheduled patrols. These inspections may include visual assessments for hazards, safety concerns, unauthorized access, vandalism, or maintenance issues. Findings will be documented and reported to the Client. UEMSA makes no warranty that wellness checks will identify all potential issues and shall not be held liable for conditions that are hidden, develop between patrols, or fall outside the reasonable scope of observation.

18. Alarm Response Services

UEMSA shall respond to alarm activations at the Client’s property when notified by the Client, alarm monitoring company, or other authorized party. Upon arrival, UEMSA officers will inspect the premises, document findings, and notify the Client and/or law enforcement if necessary. UEMSA shall not be responsible for system malfunctions, false alarms, or delays in notification. The Client agrees that alarm response does not replace emergency services and that UEMSA is not liable for losses arising from alarm incidents.

19. Safety Escorts

UEMSA will provide safety escort services for individuals on the Client’s property upon request, such as accompanying employees or visitors to vehicles or buildings. Requests must be communicated in advance when possible, and services are subject to officer availability. UEMSA will make reasonable efforts to ensure a safe escort but shall not be held liable for any incidents occurring during or after the escort, particularly if circumstances are beyond the control of UEMSA officers.

20. Incident Investigation & Reporting

In the event of an incident on the Client’s property, UEMSA will conduct a preliminary investigation, document observations, gather witness statements if possible, and provide a written report to the Client. UEMSA's investigation is limited to observations and evidence available at the time and is not intended to replace official law enforcement investigations. UEMSA does not guarantee the resolution of incidents or identification of responsible parties and is not liable for incomplete information or outcomes of the investigation.

21. Community Safety Workshops

UEMSA agrees to provide one (1) Community Safety Workshop per month for the Client and designated attendees. Topics may include personal safety, emergency preparedness, crime prevention, and other security-related matters. Workshops will be scheduled in coordination with the Client and subject to officer availability. UEMSA does not guarantee specific outcomes from workshop participation and shall not be liable for the actions of attendees or incidents occurring outside UEMSA’s direct control.

22. Vagrant & Homeless Encampment Management

UEMSA will monitor the Client’s property for the presence of vagrants or unauthorized encampments and will take reasonable, lawful actions to deter such activities, including verbal notices to vacate and contacting law enforcement if necessary. UEMSA officers are not authorized to use force or remove individuals or property. The Client acknowledges that such situations may require external assistance, and UEMSA shall not be held liable for the continued presence of individuals, property damage, or related incidents.

23. Special Event Coverage

UEMSA offers tailored security services for special events hosted on the Client’s property, which may include crowd control, access monitoring, and emergency response coordination. All special event services are subject to separate pricing, to be agreed upon in writing prior to the event. Event coverage is contingent on officer availability and sufficient notice, as specified by UEMSA. The Client agrees to provide accurate event details and shall hold UEMSA harmless from incidents arising from factors beyond reasonable security control.

24. General Limitation of Liability for Service Interruptions
UEMSA shall not be held liable for any failure, delay, or inability to perform services due to unforeseen circumstances or redeployment of officers to higher-priority incidents, emergencies, or obligations. The Client agrees to maintain independent contingency plans for property security in such events.
