United Emergency Management & Security Agency (UEMSA) Standard Security Services Agreement

1. Term of Agreement
This Agreement shall commence on [Start Date] and continue on a month-to-month basis unless otherwise specified in writing. Either party may terminate this Agreement at any time with written notice.

2. Payment Terms
The Client agrees to pay UEMSA a monthly fee of $[Amount], due on the 1st of each month. Services will not continue into a new month unless payment is received.

3. Scope of Services
UEMSA shall provide regular security services as mutually agreed upon in writing, which may include but are not limited to:

  • Access control

  • Perimeter checks

  • Patrols

  • Incident reporting

  • Emergency response

4. Limitations of Service
UEMSA does not guarantee the prevention of crime or incidents and is not responsible for losses, damages, or injuries occurring on the Client’s property, including during any lapse in service.

5. Price Adjustments
UEMSA reserves the right to increase fees due to unforeseen circumstances, with prior written notification, taking effect the following month.

6. Disaster Clause
UEMSA shall not be liable for service failures due to natural, man-made, or technological disasters.

7. Vehicle Issues
Delays or interruptions due to patrol vehicle issues are not the responsibility of UEMSA.

8. Deployment Clause
UEMSA may redeploy officers to higher-priority incidents, affecting service continuity.

9. Access Provision
Client must provide all necessary access (keys, codes, etc.) to allow UEMSA to perform services.

10. Emergency Response
UEMSA will respond to on-site emergencies as able but cannot guarantee immediate response due to officer availability.

11. Mutual Aid
UEMSA may utilize third-party providers for service fulfillment. Clients may opt out of mutual aid in writing, understanding this may limit service.

12. General Limitation of Liability for Service Interruptions
UEMSA shall not be held liable for any failure, delay, or inability to perform services due to unforeseen circumstances or redeployment.
